Agency law

Agency law governs relationships in which one person acts for another, creating rights, duties, and sometimes binding legal effects.

Agency law concerns representation and mandate-type relationships where an agent acts in the principal’s interest or on the principal’s behalf. In Switzerland, authority may be granted expressly, implied by circumstances, or arise from commercial roles; internal duties are often governed by mandate, employment, or corporate rules. Key issues include scope of authority, disclosure of representation, conflicts of interest, remuneration, termination, and liability to the principal or third parties. Commercial agency and distribution arrangements add sector-specific contractual and competition-law concerns.
