Assignment of claim
Assignment of claim transfers a creditor’s right against a debtor to another person without changing the underlying obligation.
Assignment (*cession*) enables a creditor to transfer a claim to a new creditor. In Swiss law, claims are generally transferable unless prohibited by law, agreement or the nature of the obligation. The assignment usually requires a valid transfer agreement and compliance with form requirements, while the debtor’s consent is normally unnecessary. Notice to the debtor is important for payment and defenses. The assignee acquires the claim with its accessories, but the debtor may retain objections and set-off rights available under the applicable rules.
