Limited partnership
A limited partnership has at least one personally liable general partner and one limited partner liable only up to a registered contribution.
Under Swiss law, the limited partnership is a partnership for operating a business under a common firm name. It combines at least one general partner, who must be a natural person and bears unlimited personal liability, with at least one limited partner whose liability is limited to the registered partnership contribution. The partnership is entered in the commercial register. Limited partners typically do not manage the business externally. The form is less common than corporations but can suit arrangements separating entrepreneurial control from passive investment.
