Managing directors
Managing directors are persons entrusted with executive management, especially in Swiss limited liability companies and comparable entities.
In Switzerland, the term commonly refers to the managers of a limited liability company (GmbH/Sàrl/Sagl) or executives granted management authority. They conduct day-to-day business, implement owners’ decisions, keep proper accounts and represent the company within their registered signatory powers. Duties include loyalty, care, compliance with law and protection of company interests. Their appointment, removal and authority are governed by the legal form, articles and commercial register entries. Liability may arise for breaches of statutory or fiduciary duties.
