Mergers and acquisitions
Mergers and acquisitions (M&A) include share purchases, asset deals, statutory mergers, demergers, conversions, joint ventures, and public takeovers. In Switzerland, transactions involve corporate approvals, due diligence, contract allocation of risk, employment and tax issues, and sometimes merger control or financial-market rules. Listed-company deals add disclosure, equal-treatment, and takeover-law considerations. M&A practice is strongly contractual, but corporate, accounting, insolvency, competition, and regulatory law shape what parties may agree and how transactions are executed.
