Proxy voting

Voting by an authorised representative at a shareholders’ or members’ meeting, often used when investors cannot attend in person.

Proxy voting allows a shareholder, partner or member to exercise voting rights through an appointed representative. In Swiss corporate practice it is especially important for listed companies, where independent proxies and electronic instructions facilitate participation by dispersed investors. The authority, form of instructions, revocation and conflicts of interest are governed by company law, articles of association and meeting procedures. Proxy voting supports corporate democracy, but poor disclosure or bundled proposals may weaken informed consent.
