Shareholder rights

Shareholder rights in Swiss companies combine financial rights, such as dividends and liquidation proceeds, with participation rights, including voting and attendance at general meetings. They also include information and inspection rights, rights to challenge certain resolutions, and minority protections. The scope varies by company form, share class, articles of association, listing status, and shareholder agreements. In listed companies, market regulation and disclosure duties add further protections, while private companies often rely more heavily on contractual arrangements.
