Simple partnership
A simple partnership is a contractual association of two or more persons pursuing a common purpose without forming a separate legal entity.
The Swiss simple partnership is a flexible default form created by agreement, often even without formalities, when several persons combine efforts or resources for a common purpose. It has no legal personality and is usually not entered in the commercial register. Partners generally act and are liable according to the partnership agreement and statutory default rules, with important consequences for representation, profit sharing and losses. It is common in joint ventures, preliminary founder relationships and informal projects, but unsuitable where limited liability or public registration is needed.
