Termination of contract

Termination may occur by expiry, performance, agreement, notice, rescission, withdrawal, or judicial decision. In Swiss law, the available method and effects depend on the contract type, the parties’ clauses, mandatory rules, and whether there is breach, impossibility, or good cause. Termination usually operates for the future in continuing relationships, while rescission or avoidance may have retroactive effects. Parties should distinguish termination rights, notice periods, form requirements, restitution duties, damages, and survival clauses such as confidentiality or dispute resolution.
