Commercial power of attorney

Commercial power of attorney is a registered authority allowing a person to represent a Swiss business in broad commercial matters.

In Swiss practice, commercial power of attorney usually refers to **Prokura**, a broad statutory power granted by a business to sign and act on its behalf in commercial transactions. It is entered in the commercial register and often expressed as individual or joint signatory authority. Despite its breadth, it has legal limits, for example for certain dispositions outside ordinary business or where special authority is required. The grantor remains bound by acts within the authority, making clear registration and internal controls important.
