General partnership

A general partnership is a commercial partnership of natural persons whose partners are jointly and personally liable for partnership obligations.

In Swiss law, a general partnership is used when two or more natural persons operate a commercial business under a common firm name. It is registered in the commercial register but does not have full separate legal personality like a corporation. Partners manage and represent the business according to the partnership agreement and statutory rules. They are personally, jointly and subsidiarily liable for partnership debts, making trust among partners essential. The form suits smaller businesses where active personal involvement is expected.
