Standard terms
Standard terms are pre-formulated contract provisions intended for repeated use and incorporated into individual contracts.
Standard terms, often called general terms and conditions, are drafted in advance for multiple transactions and accepted as part of a contract. In Switzerland they are not governed by one comprehensive code, but by general contract principles, rules on incorporation and interpretation, mandatory law, and specific consumer or competition-related controls. The other party must have a reasonable opportunity to know the terms, and unusual or onerous clauses may fail if not sufficiently highlighted. Ambiguities are commonly interpreted against the drafter.
