A. Präambel
Angesichts der Volatilität der Märkte passt SAP die Lizenzpreise regelmässig an Wechselkursveränderungen an, seit 2011 vierteljährlich. Diese Preiskalkulationsmethode führt dazu, dass die Wechselkursänderungen bei Vertragsabschluss regelmässig in die Lizenzpreise einfliessen. Da die Pflegegebühr ein fixer Prozentsatz der Lizenzgebühr ist, entsprechen die Pflegekosten bei Vertragsabschluss dem jeweils aktuellen Wechselkurs. SAP kann die Pflegevergütung gemäss den vertraglichen Regelungen bereits während der Vertragsdauer erhöhen; in den meisten Fällen unter Einhaltung einer Ankündigungsfrist von zwei Monaten durch eine schriftliche Erklärung gegenüber dem Kunden jeweils zum Ende des Kalenderjahres um jeweils maximal 5% zuzüglich der für das Vorjahr ausgewiesenen Teuerung des Landesindexes der Konsumentenpreise. Viele SAP-Kunden wechseln im Laufe der Geschäftsbeziehung zwischen verschiedenen Pflegemodellen und passen Ihre Standardanwendungssoftware-Module nach und nach den sich ändernden Bedürfnissen an. Soweit SAP-Kunden bestehende gegen neue Lizenzen austauschen, gelten hierfür die jeweils aktuellen Wechselkurse. Es kommt auch vor, dass SAP-Kunden ganz oder teilweise auf ihren ursprünglich erworbenen Modulen verharren, ohne diese zu reduzieren, zu ergänzen, zu verändern oder komplett erneuern zu wollen (nachfolgend „Bestandskunden“). Aufgrund der Wechselkursentwicklung der letzten Jahre bezahlen Bestandskunden für dieselben Wartungsleistungen zum Teil mehr als Neukunden. Neuerdings haben SAP-Kunden und insbesondere auch Bestandskunden gemäss der beiliegenden SAP Policy for Cloud and On Premise (nachfolgend „CT-Policy“) die Möglichkeit, Lizenzen bzw. deren Pflegegebühren teilweise zu kündigen, ohne dass hierzu ein Neukauf von SAP-Anwendungen notwendig ist. Dadurch werden Investitionen in Lizenzen besser geschützt und der Zeitpunkt der Migration kann von SAP Kunden flexibler gewählt werden. Die CT-Policy bildet integrierenden Bestandteil dieser Vereinbarung und ist damit gemäss Ziffer C bis ins Jahr 2016 gesichert. Der Preisüberwacher und die SAP haben sich im Rahmen einer einvernehmlichen Regelung gemäss Art. 9 Preisüberwachungsgesetz (PüG) auf Folgendes geeinigt.
B. Einvernehmliche Regelung
Gegenstand
Gegenstand der vorliegenden einvernehmllchen Regelung ist der Pflegepreis für Standard bzw. Enterprise Support für direkte SAP Bestandskunden und SAP Partner mit Bestandskunden. Der Sockelpreis wurde im Rahmen des Abschlusses dieser Vereinbarung nicht untersucht.

II Massnahmen
Die Massnahmen lauten wie folgt:
1 Verzicht auf die Anwendung der „+5% Pflegeerhöhungsklausel“, sofern
anwendbar, insbesondere bei allen Schweizer SAP Bestandskunden und SAP Partnern mit SAP Bestandskunden.
2 Verzicht für 2014 und 2015 auf eine Erhöhung des Prozentsatzes für die
Pflegegebühren (Standard- und Enterprise Support) insbesondere für alle Schweizer SAP Bestandskunden und SAP Partnern mit SAP Bestandskunden.
Die Teilkündigung gemäss der CT-Policy ist auch auf Bestandskunden anwendbar. SAP verpflichtet sich für 2014 und 2015, die aktuelle CT-Policy nicht zu Ungunsten der Schweizer SAP Bestandskunden und Partnern mit SAP Bestandskunden abzuändern. Die CT-Policy bildet insofern einen Bestandteil dieser einvernehmlichen Regelung (Beilage).
SAP verpflichtet sich, den Inhalt der Massnahmen 1 und 2 ihren Schweizer Kunden und Partnern im Rahmen der jährlichen Kundenschreiben im November 2013, 2014 (Massnahme 1 und 2) und 2015 (Massnahme 1) mitzuteilen und ihre Schweizer Kunden auf der Website der _SAP auf die CT-Policy hinzuweisen.
C. Befristung der einvernehmlichen Regelung
Die Regelung gilt ab deren Unterzeichnung bis am 31.12.2016. Eine Aufhebung oder Änderung dieser Vereinbarung ist bei wesentlicher Veränderung der tatsächlichen Verhältnisse (vgl. Art. 11 Abs. 2 PüG) möglich.
D. Information der Öffentlichkeit
Der Preisüberwacher und SAP verständigen sich wie und wann die Öffentlichkeit über den Abschluss der einvernehmlichen Regelung informiert wird.
E. Sanktionen
Bei Zuwiderhandlungen gegen diese einvernehmliche Regelung kommen Art. 23 und 25 PÜG zur Anwendung.

SAP Policy for Cloud and On Premise Extensions OBJECTIVES AND SCOPE

Scenario 1 of the policy describes how customers can replace existing on-premise maintenance payments with a new cloud subscription purchase.
Cloud extension starts with purchase of cloud subscription. As a consequence, and only as a follow-on step, the customer or customer‘s partner may partially terminate existing on-premise licenses (engine or user) usage rights and maintenance. In this case, the new cloud solution subscription payment needs to exceed the fees SAP was receiving as the annual maintenance payment for the transaction with the partial termination. Scenario 2: On-premise extension Scenario 2 of the policy describes how customers can replace existing on-premise maintenance payments with a new on-premise purchase.
On-premise extension starts with purchase of new on-premise licenses. As a consequence, the customer or customer‘s partner may partially terminate existing on-premise licenses (engine or user) usage rights and maintenance. In this case, the annual maintenance payment to SAP associated with the new licenses needs to be greater than or equal the annual maintenance payment given up by SAP for the transaction with the partial termination. This scenario holds true for:
Customers, in the case of the SAP direct channel and SAP-delivered support in the indirect channel
The partner, in the case of VAR-delivered support and maintenance harmonization (MTH) delta billed
Scenario 2 is valid beginning August 14, 2013.
SAP reserves the right to modify or end this policy at any time and without notice at its sole discretion.

“Handling of other requests“ There may be customer or partner requests to terminate existing on-premise maintenance payments outside Scenarios 1 and 2 described above. Such partial termination means that a customer terminates certain software usage rights (engines and users) and the corresponding maintenance volume, without an extension to cloud or on-premise solutions, as described in the scenarios above.
In addition, in the event of a Scenario 1 or 2 termination where the new licenses do not meet the rules as defined in the detailed sections below, such terminations will be considered other requests.“
Because the historic contract was evaluated and agreed to by the parties on the basis of the purchased volume, especially with respect to discounts, SAP will recalculate the remaining maintenance base after the partial termination.
This recalculation will reflect only list-price volume discounts plus, in the case of the indirect channel, a 30% fIat channel discount on MSRP. This means that the new maintenance base (tor all remaining licenses relative to the respective contractual landscape after termination) will be calculated at the standard volume discount only. Any previously granted nonstandard discounts will no longer be considered for the purpose of calculating the maintenance base. The new maintenance fee will be capped at the maintenance fee paid before the partial termination.
This remaining policy to manage other requests is valid beginning August 14, 2013.
SAP reserves the right to withdraw or modify this policy at any time.
