–––Verfügung686/01vom20. März 2018Addex Therapeutics SA–Feststellung der Gültigkeit einer Opting out-KlauselSachverhalt:A.

Addex Therapeutics SA(Addexoder Gesuchstellerin)ist eine Aktiengesellschaft mit Sitzin Plan-les-Ouates/GE. Das Aktienkapital von Addexbeträgt CHF 15'526'454 und isteingeteilt in 15'526'454 Namenaktienmit einem Nennwert von je CHF1.00 (Addex-Aktien). Zudem wurden 141'466 Addex-Aktien aus bedingtem Kapital geschaffen, welche zurzeit noch nicht im Handelsregister eingetragen sind. Addex verfügt über ein bedingtes Kapital im Betrag von CHF7'551'028und ein genehmigtes Kapital im Betrag von CHF 7'692'494. Die Addex-Aktien sind an der SIX Swiss ExchangeAG (SIX) gemäss International Reporting Standardkotiert (SIX:ADXN; ISIN: CH0029850754). B.

Grösster Aktionär von Addex ist ◾New Enterprise Associates 15 L.P(New Enterprise Associates), Timonium MD 21093, USA, der ◾gemäss Offenlegungsmeldung vom 3. März 2018 über Growth Equity Opportunities Fund IV, LLC, c/o New Enterprise Associates 15 L.P, MD 21093, Timonium/USA, indirekt 4'792'332 Addex-Aktien hält, entsprechend 31.15% des Kapitals und der Stimmrechte von Addex.C.

Am 14. Februar 2018 unterzeichnete Addex mit denstrategischen Partnern Growth Equity Opportunities Fund IV, LLC (NEA) und New Leaf Biopharma Opportunities I, L.P. (NLV) ein Investment Agreement sowie einWarrant Agreement. Darinverpflichten sich NEA und NLV, insgesamtCHF20 Mio.in Addexzu investieren. Zusätzlich wurde vereinbart, dass NEA und NLV zusammen mit anderen Investoren (andere Investoren; zusammen mit NEA und NLV die Investoren) für einen Betrag von max. CHF40 Mio. bis zu 12'779'553 neu auszugebende Addex-Aktien zeichnen, wobei hierfür im Betrag vonCHF 10'505'000 bereits entsprechende Zeichnungsverpflichtungen vorliegen(Transaktion). Die Transaktion soll als ordentliche Kapitalerhöhung im Umfang von CHF12'779'553durchgeführt werden, wobei 12'779'553Addex-Aktien unter Ausschluss des Bezugsrechts der bisherigen Aktionäre zu einem Ausgabepreis von CHF 3.13pro Addex-Aktie an die Investoren ausgegebenwerden (Kapitalerhöhung).Weiter ist vorgesehen, dass jeder Investor pro gezeichnete Addex-Aktie 0.45 Bezugsrechte (Warrants) erhält. Jeder Warrantberechtigt während der Laufzeit zum Bezug einer Addex-Aktie zu einem Ausübungspreis von CHF 3.43. Die Laufzeit beträgt siebenJahre ab Vollzugder Kapitalerhöhung. Die bei Ausübung der Warrantsnotwendigen Addex-Aktien werden aus dem bedingtemAktienkapital von Addex bezogen.

Die Transaktion steht unter anderem unter der Bedingung, dass die Generalversammlung von Addex der Transaktionzustimmt, namentlich der Kapitalerhöhung unter Ausschluss des Bezugsrechts der bisherigen Aktionäre und einer Anpassung von Art. 3c der Statuten von Addex betreffenddas bedingte Kapital.E.

Im Zusammenhang mit der Transaktion soll die Generalversammlung von Addex auch ein Opting out beschliessen,mit folgendemWortlaut:Article 39 Opting-outGrowth Equity Opportunities Fund IV, LLC, do New Enterprise Associates, 1954 Greenspring Drive, Suite 600, Timonimu, MD 21093, et New Leaf Biopharma Opportunities I, L.P., 7 Times Square, Suite 3502, New York,NY 10036, Etats-Unis, y compris, dans chaque cas, leurs associés et actionnaires, directs ou indirects, ainsi que toute autre entité ou personne (qu'elle soit fondée ou non) qui, seule ou avec des tiers, contrôle ou détient d'une autre manière une participation topique dans ces sociétés, ne sont pas soumis à l'obligation de présenter une offre publique d'acquisition selon l'art. 135 de la Loi fédérale sur l'infrastructure des marchés financiers (LIMF), qu'ils agissent seuls ou de concert selon l'art. 135 LIMF (opting-out au sens de l'art. 125 al. 3 LIMF). La clause d'opting-out susvisée expirera le 21 mars 2023, avec effet applicable à tout franchissement du seuil au sens de l'art. 135 LIMF qui surviendrait ultérieurement.F.

Am 23. Februar 2018 wurde die Einladung zu einerausserordentlichen Generalversammlung von Addexvom16. März 2018 (ausserordentliche GeneralversammlungoderaoGV ) im Schweizerischen Handelsamtsblatt publiziert und enthielt unter anderem das Traktandum 2.2: „Adoption of a new article 39 regarding the exemption from the duty to make an offer (opting-out of mandatory offer rules)“. G.

Der Verwaltungsrat von Addexerläutert diesesTraktandum in der Einladung zur aoGVwie folgt: The Board of Directors proposes the introduction of a selective opting-out clause limited to a 5 year period in order to facilitate the financing of the Company by the Investors and to provide legal certainty in connection with the possible legal consequences under Swiss takeover law of their commitment to subscribe for, and their acquisition of, the New Shares and, if and when the Warrants are exercised, the Warrant Shares.As noted in the introductory remark, it is expected that NEA and NLV together, following the implementation of the Capital Increase, will in aggregate hold approximately 22.7% and, assuming full exercise of the Warrants, 27.3% of the then outstanding voting rights in Addex, respectively. Neither NEA nor NLV hold any shares or derivatives or any voting rights in Addex as of the date of this invitation.

–––The Opting-out as contemplated by the new article 39 of the Articles of Association would, if approved by the general meeting of shareholders of Addex, entail the following consequences for Addex' shareholders:-

Neither NEA, NLV nor their respective affiliates would have a duty to make a mandatory offer for a period of 5 years starting from the date of the EGM in case any of them acquires (either alone or acting in concert pursuant to art. 135 FIMA) 331/3% ormore of the outstanding voting rights of Addex and, as a consequence, Addex' shareholders would be deprived of their right to tender their shares in a mandatory offer triggered by a change of control in Addex caused by NEA and/or NLV pursuant to article 135 FMIA;-

Because NEA and NLV (and their respective affiliates) would not have a duty to make a mandatory offer, the related provisions of the FMIA would not apply. In particular, this means that NEA and NLV would not have a duty to extend an offer to all holders of listed equity securities of Addex and, in connection therewith, to offer a minimum price: pursuant to article 135 para 2 FMIA, the offer price in a mandatory offer must at least amount to the higher of the following two amounts (minimum price): (i) the highest price directly or indirectly paid by the offeror or by persons acting in concert with the offeror for equity securities of the target company (here: Addex) in the preceding twelve months (prior to submitting the offer) and (ii) the stock exchange price of Addex' shares (as determined in accordance with the applicable legal provisions);-

The Opting-out would be a selective opting-out, meaning that it would be limited in time and scope; it would only be applicable to NEA and NLV and their affiliates, whereby (existing or future) shareholders other than NEA and NLV, assuming such shareholders reached or exceeded the threshold of 331/3% of the then outstanding voting rights, wouldnot be able to rely on the Opting-out and would have the duty to make a mandatory offer to all the shareholders in accordance with article 135 FMIA which would be subject to the relevant provisions of the FMIA and of the implementing ordinances, including the rules described above.To clarify, the Board of Directors believes that the nature and scope of NEA's and NLV's respective rights and obligations in connection with the Transaction would not trigger a duty to make a mandatory offer pursuant to art. 135 FMIA in the first place. As mentioned above, in the absence of anyopting-out, a duty to submit a mandatory offer would be triggered if a shareholder individually or shareholders acting in concert reach(es) or exceed(s) the threshold of 331/3% of the then outstanding voting rights of Addex. In connection with or as a result of the Transaction, none of NEA or NLV would reach or exceed that threshold individually, and since, as far as the Board of Directors is aware, besides the subscription of the New Shares, there are no coordinated actions among NEA and NLV, the Board of Directors believes that NEA's and NLV's rights and obligations in connection with the Transaction, as known to the Board of Directors, do not qualify as an acting in concert that would trigger such duty.

–––However, in light of the recent practice of the Swiss Takeover Board, this is not absolutely clear and as NEA and NLV together following the exercise of the Warrants could hold more than 331/3% of the then outstanding voting rights of Addex, NEA and NLV might run the risk of having to make a mandatory offer to all shareholders of the Company, which is not their intention. Such legal uncertainty with respect to the applicability of the mandatory offer rules and the consequences thereof would deter NEA and NLV from subscribing for, and acquiring, shares of the Company and jeopardize the Transaction as a whole. As previously noted in the introduction, NEA's and NLV's commitment to subscribe for, and acquire, shares of Addex is conditional upon the approval by the general meeting of shareholders of Addex of the Opting-out and a positive ruling from the Swiss Takeover Board confirming that the Opting-out is valid.As a result, the Transaction will not close if the Opting-out is rejected by the EGM of Addex or if such ruling cannot be obtained from the Swiss Takeover Board, and not proposing and not introducing any opting-out will therefore significantly impair Addex' ability to raise the funds necessary to ensure the financing of its operations and further advance its clinical pipeline. While the Opting-out mightdeprive Addex' shareholders from their right to tender their shares in a mandatory offer in case any of NEA or NLV or their respective affiliates acquires (either alone or acting in concert pursuant to art. 135 FMIA) 331/3% or more of the outstanding voting rights of Addex, the Transaction will allow the shareholders to participate in a potential financial upside as a consequence of the Transaction. The Board of Directors believes that such a financial upside will not be possible to achieve in the absenceof any opting-out and, as a result, NEA and NLV would run the risk of having to extend an offer for all listed securities of Addex to its shareholders.The Board of Directors thus believes that it is in the best interest of the Company and its shareholders to opt out from the mandatory offer rules and related obligations (in particular minimum price rules) pursuant to the FMIA as proposed. By limiting the Opting-out to NEA and NLV and in time, the Board of Directors further believes that it has commensurately taken account of the shareholders' interests.

As NEA and NLV do not hold any shares or derivatives or any voting rights in Addex and that no shareholder of Addex holds 331/3% or more of the voting rights of Addex, the Opting-out is subject to the shareholders' meeting's approval by the absolute majority of the votes represented at the EGM.This resolution is conditional upon the proposals under agenda items 1and 2.1 also being accept-ed by the EGM and the TOB Approval.H.

Mit Eingabe vom 26. Februar 2018 stellte Addex die folgenden Anträge:1.Determination by the Takeover Board (the TOB) that the planned opting-out clause, asproposed in the invitation to the extraordinary general shareholders' meeting of Addex at-tachedhereto as Exhibit 1. has been validly adopted by such meeting, is valid under Swiss takeoverand company law, and fulfils the requirements set forth by the respective practice of the TOB.

–––2.The TOB shall hear Addex and allow Addex to amend its request prior to the issuance ofa decree which does not approve all requests submitted herein.Auf die Begründung dieser Anträge wird soweit erforderlich in den Erwägungen eingegangen.I.

An der aoGVvom 16. März2018wiederholteder Verwaltungsratspräsidentvon Addexdas Traktandum 2.2. und die Erläuterungenhierzu (vgl. Sachverhalt lit.D–G). Die aoGVbeschloss die Einführung von Article 39 Opting-outmit 1'436'454Ja-Stimmen(entsprechend 94.20% der vertretenen Stimmen) bei 66'500Nein-Stimmen sowie 21'875Stimmenthaltungen. J.

Zur Prüfung dieser Angelegenheit wurde ein Ausschuss bestehend aus Thomas Müller(Präsident), Jean-Luc Chenauxund Mirjam Eggengebildet.Die Übernahmekommission zieht in Erwägung:1.

Opting out1.1

Gültigkeitsvoraussetzungen eines nachträglichen Opting out[1]

Gemäss Art. 125 Abs. 4FinfraGkann eine Gesellschaft auch nach der Kotierung ihrer Aktien („jederzeit“) eine Bestimmung in ihre Statuten aufnehmen, wonachein Übernehmer nicht zu ei-nem öffentlichen Kaufangebot nach den Art.135und 163FinfraGverpflichtet ist, sofern dies nicht eine Benachteiligung der Aktionäre im Sinne von Artikel 706 OR bewirkt (nachträgliches Opting out). Gemäss Art. 706 und 706a OR können der Verwaltungsrat und jeder Aktionär Be-schlüsse der Generalversammlung, die gegen das Gesetz oder die Statuten verstossen, innert zwei Monaten beim Richter mit Klage gegen die Gesellschaft anfechten.[2]

Nach der Praxis der Übernahmekommission ist ein nachträgliches Opting outübernahme-rechtlich gültig, wenn:1.

Die Aktionäre transparent über die Einführung des Opting outund dessen Folgen infor-miert werden und 2.

Die Mehrheit der vertretenen Stimmen und die Mehrheit der Minderheitsaktionäre an der Generalversammlung dem Opting out zustimmen (Verfügung 600/01 vom 22.April 2015 in Sachen Kaba Holding AG, Erw. 1.1; Verfügung 594/01 vom 5. März 2015 in Sa-chen Sika AG, Erw. 1.2.2 mit Nachweisen). [3]

Sind diese beiden Voraussetzungen erfüllt, wird vermutet, dass das Opting out keine Benach-teiligung der Minderheitsaktionäre im Sinne von Art. 125 Abs. 4FinfraGund Art. 706 OR bewirkt(Verfügung 600/01 vom 22.April 2015 in Sachen Kaba Holding AG, Erw. 1.1mit Hinweisen zur Entwicklung der Praxis; Verfügung 539/01 vom 24. Juni 2013 in Sachen Logan Capital AG,

–––Erw.1), wobei diese Vermutung beim Vorliegen besonderer und aussergewöhnlicherUmstände umgestossen werden kann (Verfügung 518/01 vom 11. Oktober 2012 in Sachen Advanced Digital Broadcast Holdings AG, Erw. 6.3; Verfügung 539/01 vom 24. Juni 2013 in Sachen Logan Capital AG, Erw. 1.3).1.2

Transparenz[4]

Ein Opting out genügt dem Erfordernis der Transparenz, wenn die Absichten des Antragstel-lersangegeben werden, welcher um die Einführung des Opting out ersucht (sowie die Absichten eines allenfallskontrollierenden Aktionärs). Zudem sind die Folgen derEinführung einesOpting out anzugeben,sowohlim Allgemeinenals auchin Bezug auf diebetreffendeGesellschaft. Der Antragsteller hat Auskunftüber die Gründe seines Vorschlags, über die beabsichtigte Transaktion sowie den daraus resultierenden Kontrollwechsel zu geben. Diese Informationen sind bereits mit der Einladung zur Generalversammlung an die Aktionäre zu kommunizieren (vgl. Verfügung 600/01 vom 22. April 2015 in Sachen Kaba Holding AG, Erw. 1.2).[5]

Vorliegend begründet der Verwaltungsrat von Addexdie Einführung eines Opting out mit der geplanten Transaktion. Das Opting out ist eine Voraussetzung dafür, dass die Transaktion wie geplant durchgeführt wird. Zwar geht Addex davon aus, dass die Investoren nach der Durchfüh-rung der Transaktion mangels entsprechender Abrede untereinander keine Gruppe im Hinblick auf die Beherrschung von Addex bilden werden, womit ohnehin kein Kontrollwechsel stattfinden würde. Um jede Eventualität auszuschliessen, soll jedoch zusätzlich einOpting out eingeführt werden. Die Transaktion selbst wird vom Verwaltungsrat von Addexals im Interesse von Addex und deren Aktionäre gewertet. [6]

Der Verwaltungsrat von Addexhat in derEinladung zur aoGVund anlässlichder aoGV selbst–durch den Verwaltungsratspräsidenten –die Gründe und Absichten dargelegt, welcheseiner An-sicht nach fürdie Einführung desOpting out sprechen. Zudem wurden dieAuswirkungen des Opting out in der Einladung zur aoGVbeschriebenund an der aoGV durch den Verwaltungsrats-präsidenten erläutert. Insbesondere wurde darauf hingewiesen, dassmit der Einführung desvor-geschlagenen Opting out die börsengesetzliche Angebotspflicht zugunsten von NEA und NLV (inklusive der dahinterstehenden Personen und Gesellschaften)ausgeschlossen wird, befristet bis 21.März 2023(vgl. Sachverhalt lit.G). [7]

Diese Informationen genügen den übernahmerechtlichen Anforderungen an die Transparenz, so dass an der aoGV jeder Aktionär eine freie und bewusste Entscheidung über die Einführung des Opting out treffen konnte.1.3

Zustimmung der Mehrheit der Minderheit[8]

Sinddie Aktionäre transparent über die Einführung eines Opting out informiert, prüft die Übernahmekommission in einem zweiten Schritt, ob dieskeine Benachteiligung der Minderheitsaktionäre zur Folge hat(Art. 125 Abs. 4FinfraG). Ein Opting out ist

–––übernahmerechtlich nur dann gültig, wenn (a) die Mehrheit der an der Generalversammlung vertretenen Stimmen und (b) die Mehrheit der Minderheitsaktionäre an der Generalversammlung dem Antrag zustimmen. Minderheitsaktionär ist, wer weder direkt noch indirekt oder in gemeinsamer Absprachemit andereneinen Anteil von 33 1/3% der Stimmrechte an der Zielgesellschaft hält noch den Antrag um Einführung des Opting out beim Verwaltungsrat gestellt hat. [9]

Vorliegend hält New Enterprise Associates als grösster Aktionär von Addex eine Beteiligung 31.15% der Stimmrechte an Addex (Sachverhalt lit.B). Damit verfügt Addexüber keinen Mehrheitsaktionär im Sinne der erwähnten Praxis und sämtliche an der aoGV vertretenen Stimmen sind für die Feststellung der Zustimmung der Mehrheit der Minderheit zu berücksichtigen. [10]

An deraoGVstimmten94.20% der vertretenen Addex-Aktien dem Traktandum 2.2: „Adoption of a new article 39 regarding the exemption from the duty to make an offer (opting-out of mandatory offer rules)“zu(Sachverhalt lit.I). [11]

Demnach hatdie Mehrheit der an der aoGVvertretenen Stimmen –und damit zugleich die Mehrheit der Minderheit –dem Antrag zustimmt, weshalb keine Benachteiligung der Minderheitsaktionäre im Sinne von Art. 125 Abs. 4 FinfraGvermutet wird.Besondere und aussergewöhnliche Umstände, welche diese Vermutung widerlegen könnten, sind nicht ersichtlich.1.4

Selektives Opting out[12]

Das Opting out bezieht sich auf NEAundNLV(inklusive der dahinterstehenden Personen und Gesellschaften) und hebt für diese die Angebotspflicht bezüglich Addexauf, befristet bis 21.März 2023 . Damit wird der Kreis der durch das Opting out Begünstigten eingegrenzt. Es handelt sich mit anderen Worten um ein sogenanntselektives Opting out.[13]

Gemäss Praxis der Übernahmekommission ist ein selektives Opting out zulässig. Begründet wird dies damit, dass die Aktionäre bei einem selektives Opting outnur partiellauf ihr gesetzli-ches Ausstiegsrecht verzichten, nämlich inBezug auf eine bestimmte Transaktion und einen da-mit zusammenhängenden Kreis von Begünstigten,weshalb ein selektives Opting out einen weni-ger starken Eingriff in ihre Rechte bedeutet als ein „generelles“ Opting out (Verfügung 600/01 vom 22. April 2015 in Sachen Kaba Holding AG, Erw.1.4 mit einer Darstellung der Entwicklung der Praxis;zustimmend OLIVER BAUM/HANS CASPAR VON DER CRONE, Selektives Opting out und Transaktionsvereinbarung, SZW/RSD 4/2015). Zusätzlich istvorauszusetzen, dass die durch die Selektivität des Opting out bewirkte Ungleichbehandlung der Aktionäre durch das Gesellschafts-interesse gerechtfertigt wird (Verfügung 600/01 vom 22. April 2015 in Sachen Kaba Holding AG, Erw.1.4.2).

Vorliegend wird die Transaktion vomVerwaltungsrat von Addexals im Interesse von Addex und deren Aktionären gewertet. Demnachprofitieren die Aktionäre der Addexvon einem Wert-steigerungspotenzial. Die Ungleichbehandlung ist damit durch das Gesellschaftsinteresse zu rechtfertigen (vgl. Art. 706 Abs. 2 Ziff. 2 und 3 OR).1.5

Fazit[15]

Nach Gesagtemsind dieVoraussetzungen für die Gültigkeit von Article 39 Opting-outder Statuten von Addex erfüllt, welcheranlässlich deraoGV vonAddexbeschlossenund eingeführtwurde. Es kann damit antragsgemäss festgestellt werden, dass diesesOpting-out übernahmerechtlich gültig ist.2.

Stellungnahme des Verwaltungsrats[16]

Wird der Übernahmekommission ein Gesuch um Gewährung einer Ausnahme von der Ange-botspflicht oder um Feststellung des Nichtbestehens der Angebotspflicht eingereicht, so eröffnet sie ein Verfahren und lädt die Parteien zur Abgabe einer Stellungnahme ein (Art. 61 Abs. 1 UEV). Vor der Eröffnung der Verfügung kann die Zielgesellschaft eine Stellungnahme ihres Verwal-tungsrates vorlegen, die sie gleichzeitig mit der Verfügung der Übernahmekommission veröffent-lichen möchte (Art. 61 Abs. 1bisUEV). Die Zielgesellschaft veröffentlicht (a) die allfällige Stel-lungnahme ihres Verwaltungsrates (Stellungnahme), (b) das Dispositiv der Verfügung der Über-nahmekommission und (c) den Hinweis, innert welcher Frist und zu welchen Bedingungen eine qualifizierte Aktionärin oder ein qualifizierter Aktionär Einsprache gegen die Verfügung der Übernahmekommission erheben kann (Art. 61 Abs. 3 UEV).[17]

Demnach ist Addexverpflichtet, das Dispositiv der vorliegenden Verfügung sowie den Hin-weis auf das Einspracherecht qualifizierter Aktionäre zu veröffentlichen.3.

Verfahrensantrag (Antrag Ziff. 2)[18]

Die Gesuchstellerinbeantragt, es sei ihr die Möglichkeit einzuräumen, vor Erlass einer Verfü-gung ihre Anträge anzupassen, falls dieseAnträge nicht in allen Punkten gutgeheissen werden.[19]

Da vorliegend Antrag Ziff.1gutgeheissen wird, ist Antrag Ziff. 2gegenstandslos.4.

Publikation[20]

In den sogenannten übrigen Verfahren gemäss Art. 61 UEV ist die Zielgesellschaft verpflich-tet, die Veröffentlichung gemäss Art. 61 UEV vorzunehmen, worauf die Art. 6 und 7 UEV Anwen-dung finden (Art. 61 Abs. 4 UEV).[21]

Addexhat diese Veröffentlichung vorzunehmen (vgl. Erw. 2).

Die vorliegende Verfügung wird gleichentags auf der Webseite der Übernahmekommission publiziert (Art. 138 Abs. 1 Satz 2 FinfraG).5.

Gebühr[23]

Für die Prüfung des vorliegenden Gesuchs wird eine Gebühr in der Höhe von CHF 30'000er-hoben (Art. 118 Abs. 1 und 2 FinfraV).

–––Die Übernahmekommission beschliesst:1.

Es wird festgestellt, dass das Opting out gemäss Art. 39 der Statuten von Addex Therapeutics SA, welches an der ausserordentlichen Generalversammlung vom 16. März 2018 beschlossen wurde, übernahmerechtlich gültig ist.2.

Addex Therapeutics SAwird verpflichtet, das Dispositiv der vorliegenden Verfügung und den Hinweis auf das Einspracherecht qualifizierter Aktionäre gemäss Art. 6 und 7 UEV zu veröf-fentlichen.3.

- Addex Therapeutics SA, vertreten durch Frank Gerhard, Homburger AG.Rechtsmittelbelehrung:Beschwerde (Art. 140 des Finanzmarktinfrastrukturgesetzes, SR 958.1):Diese Verfügung kann innert einer Frist von fünf Börsentagen bei der Eidgenössischen Finanz-marktaufsicht FINMA, Laupenstrasse 27, CH-3003 Bern, angefochten werden. Die Anfechtung hat schriftlich zu erfolgen und ist zu begründen. Die Beschwerde hat den Erfordernissen von Art.52 VwVG zu genügen.Einsprache (Art. 58 der Übernahmeverordnung, SR 954.195.1):Ein Aktionär,welcher eine Beteiligung von mindestens drei Prozent der Stimmrechte an der Ziel-gesellschaft, ob ausübbar oder nicht, nachweist (qualifizierter Aktionär, Art. 56 UEV) und am Verfahren bisher nicht teilgenommen hat, kann gegen die vorliegende Verfügung Einsprache er-heben. Die Einsprache ist bei der Übernahmekommission innerhalb von fünf Börsentagen nach der Veröffentlichung der vorliegenden Verfügung einzureichen. Sie muss einen Antrag und eine summarische Begründung sowie den Nachweis der Beteiligung gemäss Art. 56 Abs. 3 und 4 UEV enthalten (Art. 58 Abs. 3 UEV).
